1. Service description

VialWatch is a pharmaceutical shortage intelligence and research service operated by AzeoRx Pharmaceuticals LLC ("we", "us"). We aggregate, analyze, and curate publicly available information about U.S. drug shortages, manufacturer regulatory standing, and supplier capabilities. We are an information / research service. We are not a licensed wholesale pharmaceutical distributor, a pharmacy, a manufacturer, or a broker of pharmaceutical products. We do not buy, sell, ship, store, dispense, or take title to drug products.

2. Not professional or medical advice

Information provided by VialWatch (including reports, supplier rankings, classifications, and shortage forecasts) is provided for informational and research purposes only. It is not:

• medical, clinical, pharmaceutical, regulatory, or legal advice;
• a guarantee that any supplier is qualified, licensed, or appropriate for your use case;
• a substitute for your own due diligence, regulatory review, or independent verification.

Before procuring any pharmaceutical product, you must independently verify supplier credentials, regulatory status, product quality, and compliance with all applicable laws in your jurisdiction. You assume full responsibility for any procurement decision.

3. Automated content

Reports, supplier rankings, market summaries, and recommendations on VialWatch are produced in whole or in part by automated systems analyzing publicly available data sources. While we make reasonable efforts to verify accuracy, automated content can contain errors, omissions, or outdated information. You agree to treat all output as research starting points, not final answers, and to perform your own independent verification before acting on any information.

4. Subscriptions and billing

Paid subscriptions ("Pro", "Enterprise") are billed monthly via Stripe. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods except where required by applicable law. Prices are subject to change with 30 days' notice.

5. Acceptable use

You may not:

• resell, sublicense, or otherwise distribute our reports without written permission;
• scrape, crawl, or systematically download our data outside the documented API rate limits;
• use VialWatch in connection with the unlicensed sale, distribution, or importation of pharmaceutical products;
• misrepresent VialWatch reports as your own due diligence in regulated transactions.

6. Disclaimers and limitation of liability

VIALWATCH IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AZEORX PHARMACEUTICALS LLC DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) US $100 OR (b) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Indemnification

You agree to indemnify and hold harmless AzeoRx Pharmaceuticals LLC against any claims arising from your use of VialWatch, including procurement decisions you make based on information from the service.

8. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware.

9. Changes

We may update these terms from time to time. Material changes will be notified via email at least 14 days before they take effect. Continued use of the service constitutes acceptance.
